Terms and Conditions of Use

Aara is an education-only and financial wellness platform. Aara does NOT provide financial planning, investment advisory, accounting, tax advisory, or legal advice. Nothing on the Aara platform — including any content generated by our artificial intelligence (AI) features — constitutes personalized financial advice, a recommendation, or an inducement to buy or sell any security, investment, financial product, or service. AI-generated insights are informational and educational only and must not be relied upon as specific financial guidance. If you require advice tailored to your circumstances, you must consult a qualified and licensed financial advisor, accountant, tax professional, or lawyer.

 

1. Agreement to Terms

1.1 Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the Aara website, mobile application, and any related services (collectively, the "Service"), operated by Aara Invest Inc. ("Aara," "we," "us," or "our"). By accessing or using the Service in any way, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety.

If you do not agree to these Terms, you must immediately cease using the Service and delete your account.

1.2 Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. Where a change is material, we will use reasonable efforts to provide at least seven (7) days' prior notice via email or in-app notification. Continued use of the Service after revised Terms take effect constitutes your acceptance of those changes.

1.3 Eligibility

You must be at least 18 years of age, or the age of majority in your jurisdiction (whichever is greater), to use the Service. By using the Service, you represent and warrant that you meet this requirement. Aara accepts no responsibility for any misrepresentation of age.

2. Nature of the Service

2.1 Educational and Wellness Platform Only

The Service provides access to financial education content, financial wellness tools, spending insights, goal-setting features, and AI-generated informational content related to personal finance. The Service is intended solely for personal, non-commercial, educational use.

2.2 No Financial, Investment, Tax, or Legal Advice

Aara is NOT a registered financial advisor, investment advisor, portfolio manager, financial planner, accountant, tax professional, or lawyer. Aara is not registered with any Canadian securities regulatory authority, including the Canadian Securities Administrators (CSA), the Ontario Securities Commission (OSC), or any equivalent body in any jurisdiction.

Nothing on the Service — including any content, tool output, AI-generated insight, article, recommendation, suggestion, or communication from Aara — should be interpreted, relied upon, or acted upon as:

  • Personalized financial, investment, tax, accounting, or legal advice;

  • A recommendation or solicitation to buy, hold, or sell any security, investment product, or financial instrument;

  • An offer or inducement to enter into any financial transaction; or

  • A substitute for the advice of a qualified professional.

You acknowledge that financial decisions involve significant risk, that your individual circumstances are unique, and that you should always seek guidance from a qualified and licensed professional before making any financial decision.

Before making any financial, investment, tax, or legal decision, we strongly encourage you to consult a certified and licensed financial advisor, investment advisor, or other relevant professional who can assess your specific situation and provide advice tailored to your needs. Aara cannot provide this service and accepts no liability for decisions made based on information or content available on the platform.

2.3 AI-Generated Content — Limitations and No Specific Advice

Aara uses artificial intelligence (AI) technology to generate financial wellness insights, spending analyses, habit summaries, and educational content. You must read and understand the following important limitations before relying on any AI-generated content:

  • AI outputs are informational and educational only. They are not specific financial, investment, tax, or legal advice.

  • AI does not know your full financial picture. AI-generated content is based only on the data you have shared with Aara and cannot account for your complete financial circumstances, obligations, goals, or risk tolerance.

  • AI can make mistakes. Large language models can produce inaccurate, incomplete, outdated, or inappropriate outputs. You should always review AI-generated content critically.

  • AI does not provide specific recommendations. AI features will not tell you to buy, sell, or hold any specific security, fund, or financial product, nor will they advise you on specific tax strategies, estate planning, or legal matters.

  • AI is not a substitute for professional advice. For any significant financial decision, you must consult a qualified licensed financial advisor or other appropriate professional.

Aara monitors AI outputs on an ongoing basis, but cannot guarantee accuracy. You use AI-generated content entirely at your own risk.

2.4 No Guarantee of Accuracy

Aara does not guarantee the accuracy, completeness, reliability, suitability, or timeliness of any information or content provided through the Service for any purpose. Information may be out of date, incomplete, or not applicable to your situation.

2.5 Changes to the Service

Aara may, at its sole discretion and at any time, update, modify, suspend, or discontinue any feature or part of the Service, temporarily or permanently, without notice or liability.

3. User Accounts and Registration

3.1 Account Responsibilities

When registering for the Service, you agree to:

  • Provide accurate, current, and complete registration information;

  • Maintain the confidentiality of your account credentials at all times;

  • Promptly update your information if it changes;

  • Be solely and fully responsible for all activities conducted through your account; and

  • Immediately notify Aara at investaara@gmail.com if you suspect any unauthorized use of your account.

Aara is not responsible for any loss, damage, or liability arising from your failure to maintain account security or from unauthorized access to your account.

3.2 One Account Per Person

You may only hold one active Aara account. Creating multiple accounts is prohibited.

4. Subscription Plans, Billing, and Cancellation

4.1 Free Trial

New users are eligible for a seven (7) day free trial upon registration. The free trial is available to first-time subscribers only. No charge will be applied during the trial period. At the end of the free trial, your chosen subscription plan will automatically begin and your payment method will be charged unless you cancel before the trial period ends.

4.2 Subscription Plans and Pricing

Aara offers two subscription plans, both providing full access to all features of the Service:

Monthly Plan: $9.99 CAD per month, billed on the same calendar date each month following the end of your free trial.

Annual Plan: $94.99 CAD per year, billed as a single upfront payment. This is equivalent to approximately $7.92 CAD per month and represents a saving of approximately 20% compared to the monthly plan. The Annual Plan renews automatically on your annual billing date unless cancelled in accordance with Section 4.4 below.

All prices are in Canadian dollars (CAD). Aara reserves the right to change subscription pricing at any time with at least thirty (30) days' prior notice by email or in-app notification. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.

4.3 Automatic Renewal

Both subscription plans renew automatically at the end of each billing period. By subscribing, you authorize Aara to charge your payment method on a recurring basis until you cancel. You will receive a reminder notification prior to each annual renewal.

4.4 Cancellation Policy

Monthly Plan — Cancel Anytime: If you are on the Monthly Plan, you may cancel your subscription at any time through your account settings or by contacting investaara@gmail.com. Your cancellation will take effect at the end of your current billing period. You will retain full access to the Service until that date. No refund will be issued for any unused portion of the current billing period.

Annual Plan — 3-Day Cancellation Window: If you are on the Annual Plan, you may cancel and receive a full refund within three (3) calendar days of your initial purchase date or annual renewal date. Cancellation requests must be submitted within this window by contacting investaara@gmail.com. After the three (3) day window has passed, your Annual Plan payment is non-refundable and you will retain access to the Service for the remainder of your paid annual term. At the end of that term, your subscription will not renew.

To cancel your subscription at any time, visit your account settings in the app or contact us at investaara@gmail.com.

4.5 Failed Payments

If a payment fails, Aara will attempt to process the charge again within a reasonable period. If payment cannot be collected after reasonable attempts, Aara reserves the right to suspend or terminate your access to the Service until the outstanding amount is resolved.

5. Privacy and Data

Your use of the Service is subject to Aara's Privacy Policy, available at www.aarainvest.com, which explains how we collect, use, store, share, and protect your personal information in accordance with Canada's Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy laws. By using the Service, you consent to the collection and processing of your personal data as described in the Privacy Policy.

Aara integrates with Plaid Technologies, Inc. to retrieve your bank transaction data. You are encouraged to review Plaid's privacy policy at https://plaid.com/legal/. You may revoke Plaid access at any time through your account settings.

6. Intellectual Property

6.1 Ownership

The Service and all related content — including text, graphics, logos, designs, software, user interfaces, educational materials, AI-generated output, branding, and data compilations — are the exclusive property of Aara or its licensors and are protected by Canadian and international intellectual property laws, including the Copyright Act (Canada) and applicable trademark law.

6.2 Limited Licence

Aara grants you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your personal, non-commercial use in accordance with these Terms. This licence does not include the right to:

  • Reproduce, copy, distribute, or publicly display any part of the Service;

  • Modify, adapt, translate, reverse-engineer, decompile, or disassemble any part of the Service;

  • Use the Service for any commercial purpose or for any public display; or

  • Remove any copyright, trademark, or other proprietary notices from the Service.

Any use of the Service not expressly permitted by these Terms is prohibited and may violate applicable law.

7. Acceptable Use and Prohibited Conduct

You agree not to use the Service in any manner that:

  • Violates any applicable local, provincial, national, or international law or regulation;

  • Is fraudulent, deceptive, or misleading;

  • Involves the transmission of unsolicited communications or spam;

  • Interferes with or disrupts the integrity or performance of the Service or its underlying systems;

  • Attempts to gain unauthorized access to any part of the Service, its servers, or any related network or system;

  • Introduces viruses, malware, ransomware, Trojan horses, or any other harmful code or material;

  • Scrapes, harvests, or collects data from the Service without prior written consent;

  • Impersonates any person or entity, or misrepresents your affiliation with any person or entity; or

  • Uses the Service for any purpose other than personal, non-commercial, educational use.

Any violation of these provisions will result in immediate termination of your access to the Service. Aara reserves the right to report any unlawful activity to the appropriate law enforcement authorities.

8. Third-Party Links and Services

The Service may contain links to third-party websites, services, or resources (including Plaid, OpenAI, and social media platforms). These links are provided for convenience only. Aara does not endorse, control, or take responsibility for the content, accuracy, privacy practices, or availability of any third-party services.

Your use of any third-party service is at your own risk and subject to that third party's terms and privacy policy. Aara accepts no liability for any loss or damage arising from your use of, or reliance on, third-party content or services.

9. User-Generated Content

Certain features of the Service may allow you to submit content, comments, or other materials ("User Content"). You retain ownership of your User Content, but by submitting it you grant Aara a non-exclusive, royalty-free, worldwide licence to use, display, and process your User Content solely for the purpose of operating and improving the Service.

User Content has not been reviewed or approved by Aara. Views expressed by users do not represent the views or values of Aara. To report objectionable User Content, please contact investaara@gmail.com.

10. Beta Features and Free Services

Aara may from time to time offer beta features or free-trial access to the Service. Such features and access are provided entirely on an "as is" basis, with no guarantee of continued availability, accuracy, or fitness for any purpose. Beta features may contain errors, bugs, or incomplete functionality and are used at your sole risk.

Free access or trial periods may be modified, suspended, or discontinued at any time without notice or liability.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. AARA EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Aara does not warrant that:

  • The Service will meet your requirements or expectations;

  • The Service will be available at any particular time or location;

  • Any errors or defects will be corrected;

  • The Service is free from viruses or other harmful components; or

  • Any content, including AI-generated content, is accurate, complete, reliable, or suitable for any purpose.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE CANADIAN LAW, IN NO EVENT SHALL AARA, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR FINANCIAL LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF AARA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In particular, Aara shall not be liable for any financial loss, investment loss, or other loss arising from any financial decision made in reliance on information or content (including AI-generated content) available through the Service.

If, notwithstanding the above, Aara is found liable, Aara's total aggregate liability to you shall not exceed the greater of: (a) the total amounts paid by you to Aara in the twelve (12) months immediately preceding the claim; or (b) CAD $100.

Nothing in these Terms limits or excludes liability for fraud, gross negligence, death, or personal injury caused by Aara's negligence, or any other liability that cannot be excluded under applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Aara and its affiliates, directors, officers, employees, agents, contractors, and licensors from and against any and all claims, demands, actions, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use or misuse of the Service;

  • Your breach of these Terms or any applicable law or regulation;

  • Your User Content; or

  • Any financial decision you make in reliance on content available through the Service.

14. Termination

14.1 Termination by Aara

Aara may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to access and use the Service will immediately cease.

14.2 Termination by You

You may terminate your account at any time by contacting investaara@gmail.com or by using the account deletion feature in the app. Termination does not affect any rights or obligations that arose prior to the effective date of termination. For Annual Plan subscribers, termination of your account outside of the three (3) day cancellation window described in Section 4.4 does not entitle you to a refund of any unused portion of your annual subscription.

14.3 Survival

The following provisions shall survive any termination or expiry of these Terms: Sections 6 (Intellectual Property), 11 (Disclaimer of Warranties), 12 (Limitation of Liability), 13 (Indemnification), 16 (Governing Law), and any other provisions that by their nature should survive termination.

15. Security and Prohibited System Access

You must not misuse the Service by knowingly introducing viruses, malware, spyware, ransomware, or other harmful or malicious material. You must not attempt to gain unauthorized access to the Service, its servers, databases, or any connected networks or systems, whether through hacking, password mining, or any other means.

Any such conduct will result in immediate termination of access, and Aara reserves the right to report any such activity to the relevant law enforcement authorities. Aara will cooperate fully with law enforcement in connection with any investigation of such activity.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that any dispute, claim, or controversy arising out of or in connection with these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada. You irrevocably submit to the personal jurisdiction of those courts.

Before initiating any legal proceedings, you agree to first contact Aara at investaara@gmail.com to attempt to resolve the dispute in good faith.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies or notices published by Aara, constitute the entire agreement between you and Aara with respect to the Service and supersede all prior agreements, understandings, or representations.

17.2 No Waiver

Aara's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver of any breach shall not constitute a waiver of any subsequent breach.

17.3 Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, it shall be severed. The remaining provisions shall continue in full force and effect.

17.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without Aara's prior written consent. Aara may freely assign or transfer these Terms, including in connection with a merger, acquisition, or sale of assets, without restriction.

17.5 Language

These Terms are written in English. In the event of any discrepancy between an English version and any translation, the English version shall prevail.

17.6 Electronic Communications

By using the Service, you agree to receive communications from Aara electronically, including by email and in-app notification. You agree that all agreements, notices, and disclosures provided electronically satisfy any legal requirement that such communications be in writing.
